TotalEnergies SE Announces Capital Increase for Employees in Tunisia

TotalEnergies SE, a major player in the energy sector, has announced a capital increase reserved for shareholders, with a portion dedicated to employees of its subsidiaries in Tunisia, namely TotalEnergies Marketing Tunisie and Hutchinson Tunisie.

Objective

The operation, described in the prospectus available on the CMF website, aims to allow employees of TotalEnergies Marketing Tunisie and Hutchinson Tunisie to subscribe to shares at preferential conditions. According to the decisions of the Board of Directors dated September 21, 2023, employees with at least three months of seniority within these eligible entities can benefit from a 30% discount on the reference price for TotalEnergies SE shares.

Subscription Period

Bonus: Free Share Allocation

Employees subscribing to the offer will be able to benefit from a free allocation of shares based on their personal contribution, with a limit of 10 free shares per employee and a total cap of 18 million shares issued.

Tunisian Legislation and International Perspectives

The Central Bank of Tunisia has granted its authorization for this operation, with specific conditions regarding the repatriation of revenues and the validity of the capital call from parent company TotalEnergies SE. For Hutchinson Tunisie employees, the agreement is pending.

International Approach

This capital increase is part of an international approach where the company has decided to increase the capital reserved for employees and former employees. Indeed, it continues to closely associate its collaborators with its activity and development. As a testament to this commitment, the group is attributing 100 TotalEnergies shares to each of its 100,000 collaborators worldwide, marking the largest universal attribution in TotalEnergies' history, as the company celebrates its centenary this year.
