Smart Tunisie to Increase Capital via Reserve Incorporation

Smart Tunisie is preparing to increase its share capital through the incorporation of reserves. This operation was authorized by the company’s Extraordinary General Meeting held on April 29, 2026.

The recapitalization amount has been set at 10,123,440 TND, which will raise the share capital from its current level of 50,617,215 TND to 60,740,655 TND following the planned issuance. The operation will be carried out in two distinct tranches.

First Tranche Details

The first tranche was approved by the Board of Directors on September 10, 2026. It will amount to 5,061,720 TND and involve the issuance of 1,012,344 new free shares, each with a nominal value of 5 TND. Holders of 10 old shares will be entitled to one new free share. The company will also acquire and cancel 3 broken subscription rights.

  • Effective Date: October 1, 2026
  • Entitlement Date: The new shares will carry full economic rights from January 1, 2026.
  • Trading: The new shares will be traded on the same listing line as the old shares.
  • Post-Operation Capital: Upon completion of the first tranche, the share capital will increase to 55,678,935 TND.

Strategic Objectives

This operation serves a dual purpose:

  1. Shareholder Reward: It allows the company to reward its shareholders. Given the strong performance and realistic prospects for stock price appreciation, this move is timely. The first half of the year closed with a net profit of 16.078 million TND.
  2. Stock Price Support: These operations are considered the most effective way to support the stock price. Investors are unlikely to sell shares that offer both a dividend and a free share, especially considering the annual yield already stands at approximately 79%.
