Tunis Stock Exchange Regulator Refers UADH Financial Statements Leak to Public Prosecutor
Tunis, October 7, 2026 – The Financial Market Council (CMF), Tunisia’s capital market regulator, announced today that it has referred a case to the public prosecutor following the premature leak of the financial statements of listed company Universal Auto Distributors Holding (UADH) on social media.
Premature Disclosure on Social Media
According to the CMF, UADH’s financial documents were shared on a social media page named “InfoBourse TN” before the regulator’s mandatory pre-publication review was completed. At the time of the leak, the statements had not yet been published in the Council’s official bulletin nor made available to the public through the prescribed regulatory channels.
UADH’s Response
When questioned by the CMF about the circumstances surrounding the disclosure, UADH stated that it had made its financial statements available to its shareholders prior to its Ordinary General Meeting, in compliance with applicable legal provisions. However, the company clarified that it does not know the identity of the individual who disseminated the documents on social media ahead of their official release.
Legal Action and Potential Penalties
In response to the incident, the CMF has referred the matter to the Public Prosecutor at the Tunis First Instance Court. The regulator cited a potential criminal offense under Article 81 of Law No. 94-117 of November 14, 1994, which governs the reorganization of the financial market. The judicial authorities will now investigate the circumstances of the incident, determine any potential liabilities, and take the necessary legal actions as prescribed by law.
Reinforcing Information Integrity
The CMF also reiterated the rules governing the circulation of financial information. The regulator emphasized that financial information must remain confidential until it is officially published through designated channels. This protocol is designed to ensure that investors and the public have access to information under conditions of:
- Sincerity
- Equal Access
- Transparency
- Market Integrity
Finally, the CMF clarified that while making financial documents available to shareholders for the preparation of a general meeting is a standard procedure, this action must not lead to the dissemination or circulation of such documents outside of official channels and procedures.
