Tunis Stock Exchange Publishes Results of Mandatory Public Tender Offer on STA Shares
The Tunis Stock Exchange has published the results of the mandatory public tender offer on the shares of Société Tunisienne d'Automobiles (STA), which took place from May 22 to June 20, 2025. The initiator of this offer, Kilani Holding, proposed the acquisition of 918,777 shares, representing 45.94% of the capital of the automotive dealer.
During the offer period, Kilani Holding acquired 286,011 shares, or 14.30% of the company's capital. The declarations of significant operations show the following acquisition transactions:
- May 22, 2025: 57,479 shares at an average price of 24,400 TND per share
- May 23, 2025: 13,786 shares at an average price of 24,400 TND per share
- May 28, 2025: 74,527 shares at an average price of 24,400 TND per share
- May 29, 2025: 2,050 shares at an average price of 24,400 TND per share
- May 30, 2025: 14,628 shares at an average price of 24,400 TND per share
- June 2, 2025: 32 shares at an average price of 24,400 TND per share
- June 4, 2025: 1,602 shares at an average price of 24,400 TND per share
- June 9, 2025: 195 shares at an average price of 24,400 TND per share
- June 10, 2025: 1,219 shares at an average price of 24,400 TND per share
- June 11, 2025: 230 shares at an average price of 24,400 TND per share
- June 12, 2025: 1,675 shares at an average price of 24,400 TND per share
- June 13, 2025: 12,541 shares at an average price of 24,400 TND per share
- June 16, 2025: 2,912 shares at an average price of 24,400 TND per share

In addition, by the deadline for submitting bids related to the operation set for June 23, 2025, 1,821 shares were offered in response to the mandatory public tender offer. Given that Kilani Holding already held 1,081,223 shares before the launch of the offer, the total number of shares held now stands at 1,369,055 shares, or 68.45% of the company's capital.
STA has also attracted other investors, such as Tunis Re, which has acquired 20,600 shares at an average price of 24,410 TND per share. Amen Allah Ben Temessek has crossed the 5% threshold in STA's capital, following the acquisition of 21,660 shares, bringing his stake to 100,001 shares of the automotive dealer. Previously, Rapid Traitement Juridique had acquired 62,535 shares. The new ownership structure of STA is taking shape.
