Foreign Company Seeks to Acquire Over 41% of Sotuver
The Financial Market Council (CMF) announced on Thursday the receipt of an official request to acquire a majority controlling block in the Tunisian Glass Company (Sotuver).
An Operation Framed by Law
The request was filed on March 10, 2026, in accordance with Article 6 of Law No. 94-17 of November 14, 1994, on the reorganization of the financial market, and Article 166 of the General Regulations of the Tunis Stock Exchange.
41% of Capital for 13 Dinars per Share
The transaction involves 16,204,636 shares, representing 41.28% of SOTUVER's capital, at a unit price of 13.020 dinars. The operation is based on a transfer protocol signed on December 16, 2025, between four sellers - the Financial Investment Company (CFI), Tunisian Lloyd Insurance, INDINVEST, and Lloyd Life - and a single buyer, B.A Glass B.V.
Listing Suspended Pending Decision
The CMF has not yet ruled on this request. Its authorization will be the subject of a subsequent notice. In the meantime, the listing of the Sotuver title is suspended as of Thursday, March 12, 2026, on the Tunis Stock Exchange.
