Bank ABC Tunisie Announces Capital Increase to TND 100 Million
Bank ABC Tunisie is proud to officially announce the increase of its share capital from TND 68 million to TND 100 million, achieved through the issuance of 3,200,000 shares with a nominal value of TND 10 each.
It is worth noting that Bank ABC Tunisie has implemented an ambitious strategic plan by 2026, aiming to strengthen its presence in the local market and become one of the most agile and digitized private commercial banks in Tunisia.
The capital increase, combined with the issuance of a subordinated loan subscribed by the English subsidiary of the Bank ABC Group in September 2024, is a key step towards achieving this growth strategy. These two operations have enabled the Bank to reinforce its equity, which now stands at TND 200 million, and to increase its financing capacity to respond to current and future strategic challenges and seize new opportunities in the banking and financial market.
The capital increase was carried out in two successive and inseparable tranches:
The first tranche, amounting to TND 10,880,000, was achieved through the incorporation of retained earnings, resulting in the issuance of 1,088,000 shares, which were allocated free of charge to shareholders in proportion to their participation in the share capital.
The second tranche, amounting to TND 21,120,000, corresponding to 2,112,000 shares, was fully and exclusively subscribed by Arab Banking Corporation BSC (Bank ABC BSC), the Bank's main shareholder.
On this occasion, Saber Ayadi, CEO of Bank ABC Tunisie, stated: "I would like to express, on behalf of the Bank ABC Group, our pride in having successfully reinforced the Bank's share capital to promote the growth of our activity. This capital increase will enable us to pursue the execution of our strategic growth plan and respond to the expectations of our clients and partners. It is undeniable that through this initiative, Bank ABC confirms and consolidates its presence in Tunisia and strengthens its position in the banking and financial sector."
Ayadi added: "I would like to express my gratitude to our shareholders, members of the Board of Directors, and the CEO of the Bank ABC Group for their unwavering confidence and support. I also extend my thanks to all those who contributed to the realization of this capital increase, particularly the Tunisian authorities, without whom this important initiative would not have seen the light of day."
Muzaffer Aksoy, Chairman of the Board of Directors of Bank ABC Tunisie, added: "I join Saber Ayadi in paying tribute to all the teams that contributed to the achievement of this major milestone, which we are very proud of. It once again demonstrates our commitment to consolidating our presence in the region and pursuing our mission of building a better and sustainable future together."
